MASTER EQUIPMENT LEASE PURCHASE AGREEMENT
REQUEST FOR PROPOSALS NO. 10069
The City of Fresno (the “City”) is soliciting proposals to provide lease financing services. The City intends to enter into a master lease agreement that can be used from time to time for acquiring various items of equipment. The firm will be responsible for arranging lease-purchase acquisitions under a three (3) year contract.
The master lease agreement should be flexible, straight-forward, and provide for acquisitions both small and large. Neither the specific items, nor the estimated funding dates are known at this time. However, typical acquisitions may include copiers, furniture, public safety equipment, communication equipment, and vehicles (including aircraft). For purposes of this proposal, the cumulative credit amount can be estimated at $35 million during the contract term, and should be considered as a line-of-credit which may or may not be fully utilized.
Some lease acquisitions will require that an escrow account be established with a third-party financial institution. The escrow account would be used to draw from to make milestone payments in accordance with a vendor contract. Interest earnings on the escrowed funds would accrue to the benefit of the City.
The lease terms will vary according to the needs and useful life of each acquisition. In general, the lease periods will range from 24 to 120 months. Lease payments will be made in arrears and either on an annual or semi-annual basis. Lease rates would need to be determined by using a suitable index, such as U.S. Treasuries or a municipal bond index.
The City is considered a large issuer for purpose of the Tax Reform Act of 1986 and plans to issue municipal securities in excess of $10 million during any given year. Therefore the leases will not be bank-qualified. The City has a long-term issuer rating from Moody’s of “A2”, from Standard & Poor’s of “A+”, and from Fitch of “A”.

SUMMARY OF ORDINANCE
The Ordinance will add Chapter 5.02 to Title 5 of the County of Fresno Ordinance Code (the “Ordinance Amendment”). The Ordinance Amendment will delegate settlement authority within certain limits to the County Administrative Officer, the Human Resources Director and the County Counsel. The limits under the Ordinance Amendment for the County Administrative Officer is $50,000 for all claims for or against the County, and for the Human Resources Director of $50,000 for all general liability claims against the County and $50,000 of additional county funds for workers compensation claims. The Human Resources Director will also be able to settle employment or personnel disputes in the amount of $50,000 that do not exceed the payment of $30,000 in additional salary or benefits. The County Counsel will be delegated the authority to waive costs of suit (including potential legal fees) up to $5,000 in exchange for a dismissal of an action against the County.

For all projects over Twenty-Five Thousand Dollars ($25,000), a contractor or subcontractor shall not be qualified to enter into, or engage in the performance of, any contract of public work (as defined by Division 2, Part 7, Chapter 1 (§§ 1720 et seq.) of the Labor Code) unless currently registered and qualified under Labor Code section 1725.5 to perform public work.
Contract Time shall be Seventy-Five (75) calendar days, and liquidated damages for delay shall accrue. See Agreement Between Owner and Contractor for more information.
Bids must be sealed and filed in the Business Office of the Owner at 1905 7th Street, Sanger, CA 93657, by October 12, 2021 before 3:00 p.m. on the clock designated by the Owner or its representative as the bid clock, after which time bids will be opened. No bid will be accepted by Owner after this time. Facsimile (FAX) copies of the bid will not be accepted.
A mandatory pre-bid conference will be held on October 5th, 2021 at 3:30 p.m. at Jefferson Elementary School, 1110 Tucker Ave, Sanger CA 93657. There will be an opportunity to visit each site immediately following the initial bid conference at Jefferson Elementary. Bidders are not obligated to visit each site. Bidders who do not sign in and attend the pre-bid conference at the Jefferson Elementary will be disqualified.
Bids must be accompanied by a bidder’s bond, cashier’s check, or certified check for at least ten percent (10%) of the amount of the base bid and made payable to the Owner.
Pursuant to the Contract Documents, the successful bidder will be required to furnish a Payment (Labor and Material) Bond in the amount of one hundred percent (100%) of the Contract Sum, and a Faithful Performance Bond in the amount of one hundred percent (100%) of the Contract Sum, as set forth in the Contract Documents.
The successful bidder will be allowed to substitute securities or establish an escrow in lieu of retainage, pursuant to Public Contract Code Section 22300, and as described in the Agreement Between Owner and Contractor and General Conditions.
The Owner will not consider or accept any bids from contractors who are not licensed to do business in the State of California, in accordance with the California Public Contract Code, providing for the licensing of contractors. In accordance with Section 3300 of said Code, the bidder shall have a Class “C-8 or Class A” license and shall maintain that license in good standing through Contract completion and all applicable warranty periods. For all projects over Twenty-five Thousand Dollars ($25,000), bidder shall state the public works contractor registration number on the Designation of Subcontractors form for each subcontractor performing more than one-half of one percent (0.5%) of the bidder’s total bid.
The Director of Industrial Relations of the State of California, in the manner provided by law, has ascertained the general prevailing rate of per diem wages and rate for legal holidays and overtime work. The Contractor must pay for any labor therein described or classified in an amount not less than the rates specified. Copies of the required rates are on file at the Owner’s business office and are available on request.

Notice is hereby given that the Board of Trustees of the State Center Community College District will receive sealed bids for the furnishing of all labor, materials, and services for Bid No. 2122-08, Applied Technology, Phase I, Clovis Community College.
The engineer’s estimate totals $39,569,000.00
This project consists of a new building on the Clovis Community College campus. The project is a two story building approximately 68,500 square feet in area. The project also includes minor work in the existing central plant building. Sitework includes new walks, additional accessible parking stalls in the existing parking lot, landscaping and re-alignment of the interior campus loop road to maintain proper fire lanes. Mechanical, electrical and plumbing necessary to support the building is also included.
Note: This project is partially funded through the California Community College Chancellor’s Office and partially funded through State Center Community College District local bond funds. The contribution from the California Community College Chancellor’s Office totals $22,158,000.00 with State Center Community College District’s local contribution totaling $17,411,000.00.

Each Bidder submitting a proposal to complete the work, labor, materials and/or services (“Work”) subject to this procurement must be a Department of Industrial Relations (DIR) registered contractor pursuant to Labor Code §1725.5 (“DIR Registered Contractor”). A Bidder who is not a DIR Registered Contractor when submitting a proposal for the Work is deemed “not qualified” and the proposal of such a Bidder will be rejected for non-responsiveness. Pursuant to Labor Code §1725.5, all Subcontractors identified in a Bidder’s Subcontractors’ List shall be DIR Registered Contractors. If awarded the Contract for the Work, at all times during performance of the Work, the Bidder and all Subcontractors, of any tier, shall be DIR Registered Contractors.
The Work is subject to payment of Prevailing Wage Rates (PWRs). The Contractor and all Subcontractors of every tier shall pay laborers performing any portion of the Work not less than the PWR established for the labor provided. Pursuant to Labor Code §1771.4(a)(4), PWR monitoring and enforcement shall be by the Department of Industrial Relations.

NOTICE INVITING BIDS
NOTICE IS HEREBY GIVEN that sealed bids will be received by the City Clerk of the City of Clovis for furnishing all labor, materials, services and equipment, and performing all work necessary as specified for, but not be limited to, furnish and install accessible pedestrian push button systems at various existing traffic signal locations (28 locations in total), make modifications to traffic signal cabinets, hardware, wiring, and make connections as required to support the pedestrian push button system, also furnish and install pedestrian countdown signal modules.
A complete listing of bid quantities is contained in the bid proposal form. Bids will be received for the complete work in accordance with the plans and specifications on file with the City Clerk at the Clovis Civic Center, Clovis, CA. Plans and specifications, forms of proposal, contract and special provisions can be downloaded free of charge from the vendor portal of PlanetBids, Inc., which is accessible on the City of Clovis website.
Bids must be filed with the City Clerk at the Clovis Civic Center prior to 2:00 p.m., Tuesday, October 12, 2021, at which time the City Clerk will open said bids. Bids shall be submitted in sealed envelopes and marked:
Bid Proposal: Traffic Signal Pedestrian Modifications
No bid will be considered unless it is made on a bid proposal form furnished by the City Engineer. Each bid must be accompanied by a certified or cashier’s check or bidder’s bond on the City’s form, made payable to the City of Clovis, for an amount equal to at least ten percent (10%) of the amount bid. Such guarantee will be forfeited should the bidder to whom the contract is awarded fail to enter into the contract. A Performance Bond in the amount equal to one hundred percent (100%) of the contract amount and a Labor and Materials (Payment) Bond in the amount equal to one hundred percent (100%) of the contract amount will be required by the City from the bidder to whom the contract is awarded. Said bonds shall be on the City’s forms and shall be issued by a surety company which is an admitted surety insurer authorized by the California Department of Insurance to transact business in this state, which has a rating not lower than “A-” as rated by A.M. Best Company, Inc. or other independent rating companies, and which is acceptable to the City of Clovis. Bidders are cautioned that representations made by surety companies will be verified with the California Department of Insurance. In accordance with the provisions of Chapter 13 (commencing with Section 4590), Division 5, Title 1 of the Government Code of the State of California, securities may be substituted for monies withheld on the project.
In accordance with the provisions of Section 1770 of the Labor Code, the Director of the Department of Industrial Relations of the State of California has determined the General Prevailing Rates and wages and employer payments for health and welfare pension, vacation, travel time and subsistence pay, as provided for in Section 1773, apprenticeship or other training programs authorized by section 3093, and similar purposes applicable to the work to be done. Said wages are available from the Internet web site of the California Department of Industrial Relations at http://www.dir.ca.gov/DLSR/PWD and also available at the City Clerk Office, Clovis Civic Center, 1033 Fifth Street, Clovis, CA 93612. A copy of the above-mentioned wage rates shall be posted by the Contractor at the job site where it will be available to any interested party.
In accordance with the provisions of Sections 1725.5, 1771.1, 1771.3, and 1771.4 of the Labor Code, this project is subject to compliance monitoring and enforcement by the Department of Industrial Relations. A contractor or subcontractor shall not be qualified to bid on, be listed in a bid proposal (subject to the requirements of Section 4104 of the Public Contract Code), or engage in the performance of any contract for public work, as defined by that chapter of the Labor Code, unless currently registered and qualified to perform public work pursuant to Section 1725.5 of the Labor Code. See Section 7-2 of the Standard Specifications (General Conditions) for additional requirements.
Keep the following three paragraphs for Federal and CDBG funds
The City of Clovis will affirmatively insure that in any contract entered into pursuant to this advertisement, minority business enterprises will be afforded full opportunity to submit bids in response to this invitation and will not be discriminated against on the grounds of race, color, religious creed, sex, or national origin in consideration for an award.
The Federal minimum wage rates for this project as predetermined by the United States Secretary of Labor are set forth in the Bid book and in copies of this book that may be examined at the offices described above where project plans, special provisions, and bid forms may be seen. The latest edition is also available from the Internet web site at U.S. General Services Administration and archives are available through the beta.SAM.gov. Addenda to modify the Federal minimum wage rates, if necessary, will be issued to holders of Bid book. Future effective general prevailing wage rates, which have been predetermined and are on file with the California Department of Industrial Relations are referenced but not printed in the general prevailing wage rates. “Modifications” to the wage rates typically change the wage rate or fringe benefits for particular crafts and trades included in the original decision. Modifications will not be effective if they are received after the bid opening or later than ten (10) days prior to the bid opening (unless there is reasonable time to notify bidders). Modifications received prior to ten (10) days before the bid opening will require notification of bidders by Addendum.
Attention is directed to the Federal minimum wage rate requirements in the Bid book. If there is a difference between the minimum wage rates predetermined by the Secretary of Labor and the general prevailing wage rates determined by the Director of the California Department of Industrial Relations for similar classifications of labor, the Contractor and subcontractors shall pay not less than the higher wage rate. The Department will not accept lower State wage rates not specifically included in the Federal minimum wage determinations. This includes “helper” (or other classifications based on hours of experience) or any other classification not appearing in the Federal wage determinations. Where Federal wage determinations do not contain the State wage rate determination otherwise available for use by the Contractor and subcontractors, the Contractor and subcontractors shall pay not less than the Federal minimum wage rate, which most closely approximates the duties of the employees in question.
Keep the following three paragraphs for Federal fund
Bidders are advised that, as required by federal law, the City of Clovis is implementing new Disadvantaged Business Enterprise requirements for Disadvantaged Business Enterprises (DBE). Section 2, “Proposal Requirements and Conditions,” under subsection titled “Disadvantaged Business Enterprises (DBE)” and Section 5, “General,” under subsection titled “Performance of Subcontractors” of these special provisions cover the DBE requirements. The DBE Contract goal is six percent (6%). The Agency may consider the DBE commitments of the 2nd and 3rd bidders when determining whether the low bidder made good faith efforts to meet the DBE goal.
This project is subject to “Buy America” requirements of the Surface Transportation Assistance Act of 1982 (Section 165), and the Intermodal Surface Transportation Efficiency Act of 1991 (ISTEA) Sections 1041(a) and 1048(a), Title 23 CFR 635.410, and the regulations adopted pursuant thereto.
This project is also subject to the Cargo Preference Act (CPA) implementing regulations in Title 46 CFR 381, “Cargo Preference – U.S.-Flag Vessels”, for all Federal-aid projects.
All bids are to be compared on the basis of the City Engineer’s estimate of the quantities of work to be done as shown in the bid proposal form. The Contractor must be licensed in accordance with the provisions of the Business and Professions Code, Division 3, Chapter 9 “Contractor”. Bidders for this project must possess a valid Class A or C10 License prior to award of the contract and will be requested to indicate the license expiration date, and the license number on the bid proposal if available. Award consideration will take place at the earliest available Council meeting or as the City Manager has been authorized to award and execute the contract. All representations made on the proposal are made under penalty of perjury.
Define the determination of the lowest bid
The lowest bid shall be determined by the amount of the base bid.
The City of Clovis reserves the right to reject any or all bids, to waive any informalities or minor irregularities in the bids received, or to award the contract to the lowest responsible bidder as may serve the best interest of the City of Clovis.
Time of completion for the Project shall be Forty (40) Working Days from the date established in the Owner’s Notice to Proceed.
If no sole source is specified for the project, delete this paragraph
Owner, or its designee, has determined that certain materials, services, products or things designated by specific brand or trade name shall not be subject to Public Contract Code section 3400(b) in order to match other materials, services, products or things in use on a particular Owner public improvement either completed or in the course of completion, as described in Public Contract Code section 3400(c)(4). These specific materials, services, products or things are identified in Section 98-4 (Traffic Signals) and Section 98-5 (Accessible Pedestrian System) of the project specifications.
Unless otherwise required by law, no bidder may withdraw its bid for a period of sixty (60) days after the date set for the opening thereof or any authorized postponement thereof. The Owner reserves the right to take more than sixty (60) days to make a decision regarding the rejection of bids or the award of the Contract.
